THE SHORT VERSION

Buy once, keep it

Personal and Professional licenses don't expire. Updates are included for 12 months.

You review every result

Automatic detection can miss things. You decide what's redacted and shared.

30-day refunds

Email us within 30 days of buying for a full refund.

Disputes: arbitration

Most disputes go to individual arbitration, not court or class actions. You can opt out within 30 days.

This summary is for convenience. The full terms below control.

Please read section 14 carefully. It requires most disputes between you and Veil to be resolved by binding individual arbitration, and waives your right to a jury trial and to participate in a class action, unless you opt out within 30 days as described there.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Veil Docs, a [STATE] [ENTITY TYPE] ("Veil", "we", "us"), governing the Veil desktop application and its updates (the "App"), our website, your account and related services (together, the "Services"). By creating an account, clicking to accept, or downloading, installing or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Services.

If you accept on behalf of an organization, you represent that you have authority to bind it, and "you" means that organization and its authorized users.

2. Eligibility and accounts

You must be at least 18, or the age of majority where you live, and able to form a binding contract. You must not be barred from using the Services under applicable law. You're responsible for providing accurate information, keeping your sign-in credentials secure, and all activity under your account. Tell us promptly at [support@yourdomain.com] if you suspect unauthorized use.

3. License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App in object-code form for your own personal or internal business purposes, as follows:

  • Personal and Professional (perpetual): one named individual, on up to two devices that individual uses. The license to the version purchased, and to updates we release within 12 months of purchase, does not expire. Later major versions may require a paid upgrade.
  • Team (subscription): one named individual per paid seat, on up to two devices each, for the subscription term. Seats may be reassigned to a new individual when the previous user no longer needs access.
  • Trial: for evaluation only, for the trial period.

The App is licensed, not sold. The App may verify your license periodically, and certain features may stop working if it can't. We may modify, add or remove features, provided that we will not materially reduce the core functionality of a perpetual license version you have already purchased.

Restrictions

Except as expressly permitted by these Terms or by law, you may not: (a) copy, modify or create derivative works of the App; (b) reverse engineer, decompile or disassemble it, or attempt to extract its models or source code, except to the extent applicable law expressly permits despite this restriction; (c) rent, lease, lend, sell, sublicense, distribute or otherwise transfer the App or a license key; (d) use the App to provide a service bureau, hosted or redaction service to third parties under a Personal license; (e) circumvent license checks or usage limits; (f) remove proprietary notices; or (g) use the Services to build a competing product or to benchmark it for publication without our written consent.

Open source

The App includes third-party open-source components licensed under their own terms, listed in the App under About › Acknowledgements. Those terms govern those components, and nothing in these Terms restricts rights granted by them.

4. Trial, payment and refunds

Trial. New accounts may receive a free 14-day trial. When it ends, export and certain other features require a paid license. We may modify or end trials at any time.

Payment. You agree to pay all fees shown at purchase, plus applicable taxes. Payments are processed by Stripe under its terms. Prices may change, but changes won't affect a purchase already completed.

Team renewals. Team subscriptions renew automatically for successive one-year terms at the then-current price unless cancelled before renewal. We will email a reminder at least 30 days before each renewal stating the price, and you can cancel at any time in your dashboard; cancellation takes effect at the end of the current term.

Refunds. If you request it within 30 days of your initial purchase, we will refund that purchase in full, and the related license will be deactivated. Otherwise, fees are non-refundable except as required by law or stated in these Terms. Nothing here limits non-waivable rights under consumer protection law.

Chargebacks. If you dispute a charge with your bank instead of contacting us, we may suspend the related license while the dispute is pending.

5. Your responsibility for use and results

The App uses automated detection, text recognition and, if you choose, third-party AI. These technologies are probabilistic and will sometimes fail to identify information that should be redacted, identify information that shouldn't be, misread text, or produce inaccurate output. You acknowledge and agree that:

  • you are solely responsible for reviewing every document, redaction, export, form, signature and AI output before relying on, filing, sharing or publishing it, and for deciding what information to redact or disclose;
  • features such as HIPAA mode, redaction certificates, risk ratings and suggested edits are aids only; they are not a guarantee that a document is de-identified, compliant or safe to share;
  • Veil does not provide legal, medical, financial, compliance or other professional advice, and no professional or fiduciary relationship is created by your use of the Services;
  • you are solely responsible for complying with laws, regulations, court rules, professional obligations and contracts that apply to you and to the documents you process, including those relating to privacy, health information, confidentiality and records retention;
  • redaction and other edits may be irreversible, and you are responsible for keeping copies of original files; and
  • you have all rights, consents and authority needed to process the documents you use with the Services.

We are not a business associate under HIPAA with respect to the App and do not receive documents processed by it.

6. Third-party services

The Services may let you use or connect to third-party services, such as AI providers (for example OpenAI, Anthropic or OpenRouter) and sign-in providers. Third-party services are not part of the Services; your use of them is governed by your agreements with those providers; you are responsible for any fees they charge and for the content you send to them, including if you choose to send unredacted text; and we are not responsible for their availability, security, outputs or practices. We may stop supporting any third-party service at any time.

7. Acceptable use

You will not use the Services to: (a) violate any law or anyone's rights, including privacy and intellectual property rights; (b) create, alter or present documents, signatures or redactions with intent to deceive or defraud, including to conceal evidence or obstruct legal process; (c) process information you have no right to process; (d) interfere with, probe or disrupt the Services or other users' accounts; (e) introduce malware; or (f) help anyone else do any of these things.

8. Ownership and feedback

Your content. As between you and us, you own the documents and content you process with the App. The App processes them on your device and we do not receive them, so we claim no license to them.

Our property. We and our licensors own all rights in the Services, including the App, its detection models, software, documentation, website and the Veil name and logos. Except for the limited license in section 3, no rights are granted to you, and all rights not expressly granted are reserved.

Feedback. If you send suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

9. Disclaimers

To the maximum extent permitted by law, the Services, including the App, all outputs, detections, redactions, certificates and AI-generated content, are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment and any warranties arising from course of dealing or usage of trade. Veil does not warrant that the Services will identify or remove all sensitive information, that outputs will be accurate or complete, that the Services will meet your requirements or any legal or regulatory standard, or that they will be uninterrupted, secure or error-free.

Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you. In that case, any implied warranty is limited to the shortest period permitted by law.

10. Limitation of liability

To the maximum extent permitted by law: (a) in no event will Veil or its affiliates, officers, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill or data, or for any disclosure of information, regulatory fine, sanction or professional discipline, arising out of or related to the Services or these Terms, including any failure to detect, redact or protect information, however caused and under any theory of liability, even if advised of the possibility of such damages; and (b) Veil's total cumulative liability arising out of or related to the Services or these Terms will not exceed the greater of the amounts you paid us for the Services in the 12 months before the event giving rise to the claim, and US$50.

These limitations apply even if a remedy fails of its essential purpose, and they reflect an allocation of risk that is an essential basis of our agreement and of our prices. They do not limit liability that cannot be limited under applicable law, such as liability for fraud, or for death or personal injury caused by negligence where that cannot be excluded.

11. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless Veil and its affiliates, officers, employees and agents from any third-party claims, damages, liabilities, fines, costs and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the documents and information you process, redact, share or publish using the Services; (b) your use of third-party services, including AI providers; (c) your violation of these Terms or of any law or third-party right; or (d) your negligence or wilful misconduct. We may assume the exclusive defense of any matter subject to indemnification, and you will cooperate with us.

12. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, or deactivate license keys, if you materially breach these Terms, if required by law, or if necessary to prevent harm or fraud, with notice where reasonably practicable. If we terminate without cause, we will refund any prepaid, unused subscription fees. On termination, your license ends and you must stop using and uninstall the App, except that perpetual licenses that were validly purchased and not terminated for breach continue. Sections 3 (Restrictions), 5, 6 and 8 to 17 survive termination.

13. Export and sanctions

The Services may be subject to US and other export control and sanctions laws. You represent that you are not located in, or a national or resident of, a comprehensively sanctioned country or region, and are not on any US government restricted-party list, and you will not export, re-export or use the Services in violation of those laws.

14. Disputes and arbitration

Informal resolution first. Before starting any proceeding, you and we agree to try to resolve the dispute informally by sending a written notice describing it to the other party (ours: [legal@yourdomain.com] and [ADDRESS]) and negotiating in good faith for at least 60 days.

Binding arbitration. If not resolved, any dispute, claim or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, for business users, its Commercial Arbitration Rules), before a single arbitrator. The arbitrator decides all questions of arbitrability, except as provided under "Class action waiver" below. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction. Payment of filing and arbitrator fees will be governed by the applicable rules; for consumer claims below US$10,000, we will pay those fees unless the arbitrator finds the claim frivolous.

Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or confidential information, or to stop unauthorized use of the Services.

Class action and jury trial waiver. You and Veil each agree to bring Disputes only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding, and each waives the right to a jury trial. The arbitrator may not consolidate claims of more than one person or award relief on a class basis. If this waiver is found unenforceable as to any claim, that claim must be severed and heard in court, and the rest of this section still applies.

Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel or coordinated parties, they will be administered in batches under the applicable AAA mass arbitration procedures, and the parties will cooperate to resolve them efficiently.

30-day opt-out. You may opt out of this arbitration agreement by emailing [legal@yourdomain.com] from your account email within 30 days of first accepting these Terms, with your name and a clear statement that you opt out. Opting out doesn't affect the rest of these Terms.

Time limit. To the extent permitted by law, any Dispute must be brought within one year after it arises, or it is permanently barred.

Where this doesn't apply. If you are a consumer residing in a country whose laws don't permit pre-dispute arbitration agreements or class action waivers with consumers (including the EU and UK), this section doesn't apply to you, and you may bring claims in the courts where you live.

15. Governing law and venue

These Terms and any Dispute are governed by the laws of the State of [STATE] and applicable US federal law, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply. Subject to section 14, the state and federal courts located in [COUNTY, STATE] have exclusive jurisdiction, and you and we consent to personal jurisdiction there. Consumers outside the US keep any mandatory protections of the law where they live.

16. Changes

We may modify these Terms. We will post the updated Terms with a new date and, for material changes, notify you by email or in the Services at least 30 days before they take effect. Changes don't apply retroactively or to Disputes already notified. If you continue to use the Services after the effective date, you accept the updated Terms; if you don't agree, stop using the Services and, for a Team subscription, you may cancel for a pro-rated refund of prepaid fees.

17. General

  • Entire agreement. These Terms, the Privacy Policy and any order terms you accept are the entire agreement about the Services and supersede prior agreements on that subject.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets.
  • Severability and waiver. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. Failure to enforce a provision isn't a waiver.
  • Force majeure. We're not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may give notices by email to your account address or in the Services. You consent to receive communications electronically, which satisfy any requirement that they be in writing.
  • Independent parties. No agency, partnership, joint venture or employment relationship is created. There are no third-party beneficiaries.
  • Government users. The App is "commercial computer software" provided to government users only with the rights granted to all users under these Terms.
  • Interpretation. Headings and summaries are for convenience only. "Including" means "including without limitation". If these Terms are translated, the English version controls.
